October 2002 – Present
International Food franchise

Started in October 2002 on interim basis out of own management company as Legal and Business development advisor for an international franchise company selling premium ice cream and chocolates through dedicated outlets to the public. Advising the management on international contracts.

Per January 1, 2003 joined the company management team as Chief Executive Officer, with responsibility for international contacts and business development through dedicated master franchise partners in various countries and management of the Dutch operating subsidiary. Reporting to the shareholder.
Conducted negotiations and executed Master Franchise contracts in USA, Germany, Australia, Korea, Middle East and the UK.
End responsible for the business planning in the various countries and P&L responsibility for the entire organization. Responsible for all legal affairs within the entire international organization.
Negotiated contracts in new distribution channels for pre-packed ice cream and chocolates and new business lines, like private label coffee. Negotiated various outsourcing contracts for products and packaging. International responsible for trademark registration and protection.
In 2006 initiated on behalf of the shareholder the selection of possible investors in the company and managed the entire process of the sale of the shares of the company, including negotiations, due dilligence and financial and legal review, leading to a succesfull sale of the shares to two investment companies.

September 2001 - October 2002
Digital media company
Started in September 2001 on interim basis out of own management company, as Strategic Advisor to the management board of the company, a provider of digital and interactive television services using third party cable networks. Advised in the strategic repositioning. The outcome of the repositioning was approved by the shareholders in November 2001 and resulted in a first reorganization of the company in December 2001.
Assisted the management board with the reorganization and became Director Business Development and member of management team in December 2001, fully responsible for the area’s Account management, Business Development, Product Development and Content Acquisition (in total 9 FTE).
Drafted the Business Plan Interactive Television Services and accompanying financial model, which was approved by the Supervisory Board in January 2002. The aim was to start a new and independent services company and attract new shareholders. Identified and approached potential business partners to invest in the new entity and drafted for that purpose an Information Memorandum. As a result of lacking market readiness the shareholders decided in April 2002 not to continue the plan for the new entity and decided for a second reorganization and scale down of the operation into a technical platform. For that second reorganization co-drafted the Social Plan and realized the execution thereof.

November 1999 - September 2001
Internet and telephony
From September 2000 until September 2001 Director Strategy & Development and General Counsel for an Internet service provider. Recruited primarily to (help) set up broadband Internet access business in Germany and Spain. As a result of change in strategy of corporate organization the internationalization plans were postponed. Became member of management team in October 2000 responsible for strategic development, legal affairs, finance (ad interim) and external communications. In addition responsible for restructuring the company in order to control the main business processes better and to prepare the company for divestment of parts of the business.
This has resulted in the sale of the cable Internet access business in June 2001 and the sale of the portal and B-2-B Internet access business in July 2001. In both sales processes drafted the Information Memoranda, involved in selection of the prospective buyers, conducted all negotiations, arranged and supervised the due diligence investigation, drafted contracts and maintained the contacts with external legal and financial advisors.

From November 1999 until September 2000 Managing Director of Dutch Holding that owns the international participations in 2G and 3G networks and telco's. Operationally responsible for corporate law and tax compliance of the holdings. At the same time member of corporate Merger & Acquisition group. Responsible for all legal aspects of the M&A activities in the Benelux. Successfully participated in 3G (UMTS licenses) projects in United Kingdom and Germany.

June 1998 - November 1999
Software
Company Lawyer. Main areas of focus were secretary of the Supervisory Board and of the General Assembly of Shareholders, during the time the company was not listed on the Amsterdam Stock Exchange (AEX), labor law and labor related issues and trade marks. Also involved in several smaller take-overs, the re-drafting of the International General Terms and Conditions, main dealer-contracts and revision of several large corporate sales agreements and ad hoc advising to the Holding Board on various legal issues.
In the period January until June 1999 in-house lead counsel for the Initial Public Offering at the AEX, which resulted in the listing on the AEX . The responsibilities here varied from the coordination of the due diligence investigation by the lawyers of the Underwriting Syndicate, to maintaining day to day contact to the external advisors involved, the communication to the Holding Board, Shareholders and Supervisory Board of relevant matters and the preparation of the closing of the offering.

June 1993 - June 1998
Advocate. Developed an own general corporate practice. The practice covered most legal aspects concerning business law for small and medium sized companies and consisted of both advising and legal proceedings, with an emphasis on labor related issues. The last 18 months involved in coaching of new advocates of the firm.
