Career path :

February 2006 - April 2007 : SOX implementation at Amcor. Worked mainly on the documentation of key controls within expenditures, revenue, specific risks and payroll cycle.

May 2005 - January 2006 : Interim management assignment ath the Belgian Post Group. Mainly responsible for setting up business control environment within the Sales & Marketing department. Concerns reporting, budgeting & forecasting.

January 2005 - April 2005 : Interim management assignment at Fortis. Concerns a SOX implmentation. I was primarily responsible for the scoping.

August 2004 - December 2004 :

Interim management assignment at Sanoma. Working as a business analyst. Responsible for budgets, forecasts, business analysis and reporting.

March 2004 – August 2004 :

Working as an autonomous interim manager. Until the end of August working at Banksys on a large project. This project consists of an analysis of their investment portfolio resulting in the application of an investment deduction before the ruling commission of the federal tax administration. Another important task is assisting in the implementation of Oracle 11i. Most important issue here is maintaining the different mapping tables and developing the reporting schedules.

August 2002 – October 2003 :

Group Finance Manager at APL Logistics. Responsible for finance in the Netherlands, Belgium and France. Tasks similar as at Aegon and Totalfina. I was responsible for financial controlling and investment analysis and planning (large projects for international customers, including product pricing). Presenting and defending of projects at management level. Acting as change manager during the implementation of new internally developed logistics system.

April 2001 - August 2002 :

Senior Officer Corporate Finance at a stock broking firm. A lot of my time was consumed by the acquisition process of a medium sized bank. In this process I was involved with the due diligence process and also the squeeze-out. Because we payed a price substantially higher than the buy and sell orders on the Brussels Stock Exchange and, as a consequence, payed a control premium, we had to launch a take-over bid (for acquiring the outstanding shares). This take-over bid demands the following skills :
a. Writing of a prospectus
b. Negotiating with law firm and Commission for Banking and Finance
c. First spokesman for contacts with shareholders of the acquisition target.
d. Transactional services (administering and verification of acceptations of shareholders, payment of shareholders)

Another important operation is a large private placement (Barrier Therapeutics – 46 million USD). Tasks involved were :
a. Analyzing business plan / analysis of competitors / strategic analysis
b. Drafting blind profile
c. Pre-marketing to selected investors
d. Valuation
e. Writing private placement memorandum
f. Screening of potential investors
g. Drafting presentation
h. Setting up roadshows with investors
i. Discussions and negotiations with investors
k. Analysis of possible capital structure, investment analysis.


January 2000 – April 2001 :

Financial controller at AEGON BELGIUM. Responsibilities :
a. Monthly reporting (included was variance analysis) to headquarters (Amsterdam), also setting-up a new reporting system due to new reporting requirements. The analysis of the figures also meant that I had to come up with measures to improve the results.
b. Implementation of balanced scorecard system (Balanced scorecard itself was kept up-to-date every 3 months). I also introduced the concept of a business plan.
c. Business analysis (identifying new evolutions in the insurance market, analysis of competitors, strategic analysis, key performance indicators, product profitability) ;
d. Implementation of new product.
e. Budgeting and forecasting ;
f. Process analysis, resulting in improvement measures ;
g. Supervision accounting department ;
h. Responsible for all IT systems within Belgium ;
i. Maintaining relationships with banks, auditors and lawyers ;

June 1999 – January 2000 :

Investment Manager in an investment company (Gimvindus). Most of my time I was working on investment projects within the Sidmar Group (analysis, calculation, budget follow-up). Gimvindus had at that time a joint venture with Sidmar (Finindus).

August 1997 – June 1999 :
Financial Controller at a branch of Totalfina . Responsibilities :
a. Setting up a reporting system from scratch ;
b. Monthly reporting to headquarters (Paris), analysis of figures (also proposing of measures of improvement) ;
c. Internal audit ;
d. Setting up of a budgeting system, manager of the budget team ;
e. Supervision accounting department ;
f. Business analysis, investment analysis, pricing analysis.
g. Managing a team of 12 professionals (8 managers of sales outlets, 3 bookkeepers and 1 administrative support person) ;
h. When necessary, giving operational support to the managing director.
i. Responsible for all IT-systems within the branch. Main task here was the implementation of a new service station accounting system (EURODATA) within the Benelux). Integration in main accounting systems of the Totalfina group. Working closely together with IT-department for making necessary modifications to all accounting systems.
j. Human resources.

September 1995 – August 1997 :

Auditor at Ernst & Young. End of year audit in large Belgian and US-companies. Also gained some experience in consultancy (investment analysis) and tax issues (preparation of tax returns for corporations).

1994-1995 : Specialisation Finance and Fiscal Sciences at the UFSIA in Antwerp (Belgium). Degree : satisfaction (67%)
1989-1994 : Commercial Engineer at the LUC in Diepenbeek (Belgium).
One semester at the University of Leipzig (Germany), part of the Erasmus project of the European Community. Degree : 66%

November 2001 : Introductory course on private equity management organised by the European Venture Capital Association (EVCA).
