Project Leader in team led by Willem Haverkamp that turned around under-performing Philips companies. “Team of Eight makes Philips € 4B richer” (Trouw 27th February 2001). Full involvement in Redesign process for the portfolio companies: developing Redesign strategy for business; turning strategy into reality and preparing for high value divestment. Included:-

-Technofusion GmbH – manufacturer of electronic modules for automotive alternators – sales €57M – employees 400 – led business plan production and divestment to International Rectifier.
-ETG (formerly Machinefabrieken) – metal and plastic components – sales €450M – employees 4400 produced restructuring plan for Philips Board to increase value by 300% over three years.
-Philips Speech Processing – sales €90M – 600 employees – leading responsibility for 2 acquisition processes and negotiating a joint venture with major Telco.
-MMRadiolink – manufacturer of high frequency internet radio antennas – Sales €4M – employees 100 – review of business and financing options which concluded that closure was the only viable option.

ROYAL PHILIPS ELECTRONICS, AMSTERDAM
Deputy Director – Corporate Mergers and Acquisitions Oct 1998 – Dec 2000
Leading role in the department handling mergers and acquisitions for the Philips Product Divisions. Lead advisor to Semiconductors, Digital Networks and Speech Processing during a period of expansion in the US, including three US public company acquisitions. High visibility to Philips Board in making valuations, structures and recommendations. Examples:

-Medquist Inc – medical transcription company – sales $400M – Employees 8,000 – listed on NASDAQ. Led the agreed $1.3B bid, co-ordinated advisors Goldman Sachs and Mercer Management Consulting and the internal team to value and structure the acquisition, manage the due diligence team and report to Philips Board.
-Voice Control Systems Inc – voice driven telephony systems. Led negotiations for agreed $70M public bid, structured transaction, presented case for approval to Philips Board, led due diligence and final negotiations, steered external lawyers.
-VLSI Inc – communication IC’s – sales $550M – NASDAQ listed. Leading responsibility for the first hostile take-over of a US technology company by a European Group. Valuation, due diligence, co-ordination of US advisors. Deal size $1B.

Responsible for deal initiation and project leadership in the German corporate finance practice, based in Berlin and part of the European and International Network of PW. Deal experience in publishing, retail and automotive sectors via acquisition and divestment support, finance-raising and turnaround. Raised profile of Price Waterhouse via press briefings and articles in national press, including “Frankfurter Allgemeine Zeitung” Included:

-Sebaldus Druck und Verlag GmbH – Printing and publishing – Nuremberg based – Sales €500M. Worked with group management to produce detailed business plan and financial model, showing for the first time a clear picture of future trading and the interaction of the different divisions. This was used as the basis for valuation, acquisition and investment by a private equity fund.
-Price Waterhouse, Hong Kong
Secondment to liquidator of Peregrine Investment Bank, negotiated divestments of operations based in Taiwan, Philippines and Thailand.
